# Sand & Reef Terms of Service

Please read these Terms of Service carefully before using the Sand & Reef website, making a purchase, or opting into our SMS program.

## 1. Agreement to These Terms

These Terms of Service (the “Terms”) govern your access to and use of the Sand & Reef website, located at sandandreef.com (the “Site”), any purchases or other transactions you make through the Site, and your participation in our SMS messaging program. The Site is owned and operated by Sand & Reef LLC ("Sand & Reef", "we", "us", or "our").

By accessing or using the Site, browsing our catalog, creating an account, purchasing any beachwear, coastal home decor, or other products, or opting into our SMS program (collectively, the "Services"), you agree to be bound by these Terms and our [Privacy Policy](https://savannah.sandnreef.com/privacypolicy-page). If you do not agree to these Terms, you may not use the Site or Services.

These Terms apply only to customers and visitors located in the United States. By using the Site, you represent that you are accessing it from within the United States and that you are legally able to enter into a binding contract under applicable law.

## 2. Eligibility & Account Registration

2.1 Eligibility. To use the Services and participate in our SMS program, you must be at least 18 years of age, or the age of majority in your state of residence, and reside in the United States. By using the Site or opting into our SMS program, you represent and warrant that you meet these requirements and that all information you provide to us is truthful and accurate.

2.2 Account Creation. You may be required to create an account to access certain features of the Site, including order history and saved addresses. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; and (c) maintain the security of your login credentials and restrict access to your account.

2.3 Responsibility for Account Activity. You are responsible for all activities that occur under your account, whether or not you authorized the activity. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Sand & Reef is not liable for any loss or damage arising from your failure to protect your account credentials.

## 3. SMS Messaging Program

By opting into the Sand & Reef SMS program, you agree to receive recurring automated promotional and personalized marketing text messages from Sand & Reef at the mobile number you provided when signing up. Consent to receive automated marketing text messages is not a condition of any purchase.

3.1 Description of SMS Program and Messaging Use Cases. Our SMS program is designed to keep our customers informed and engaged. Use cases include, but are not limited to:

- Promotional offers, discounts, and sales alerts for beachwear, coastal decor, and marine services.

- Important updates regarding your orders, appointments, or service schedules.

- Reminders for abandoned shopping carts or incomplete bookings.

- Event announcements and exclusive subscriber-only content.

3.2 Instructions to Opt-Out. You can cancel the SMS service at any time. To opt-out, simply text "STOP" to the shortcode or number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

3.4 Disclosures for Message and Data Rates. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your interactions with us and our current promotional campaigns. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

3.5 Carrier Liability Disclaimer. Mobile carriers are not liable for delayed or undelivered messages. Sand & Reef is also not liable for any delays in the receipt of any SMS messages connected with this program. Delivery of SMS messages is subject to effective transmission from your wireless service provider/network operator.

## 4. Products, Pricing & Availability

4.1 Product Descriptions. We strive to describe our beachwear and coastal home decor products accurately, including colors, materials, sizes, and care instructions. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, current, or perfectly accurate. Slight variations in color or texture may occur due to screen settings, lighting, or natural materials.

4.2 Pricing. All prices are shown in U.S. dollars (USD) and are valid only in the United States. We reserve the right to change prices at any time without prior notice. Changes will not affect orders that we have already accepted. From time to time, we may run promotions or sales that are subject to additional terms and conditions.

4.3 Availability. Certain products may be available in limited quantities or only seasonally. We reserve the right to limit the quantities of any products that we offer and to discontinue any product at any time. We may also restrict orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors rather than personal consumers.

## 5. Orders, Payment & Order Acceptance

5.1 Placing Orders. By placing an order through the Site, you are offering to purchase products subject to these Terms. All orders are subject to availability and our acceptance. We reserve the right, in our sole discretion, to refuse or cancel any order for any reason, including errors in product or pricing information, or suspected fraudulent activity.

5.2 Payment Methods. We accept the payment methods listed at checkout, which may include major credit cards, debit cards, and select digital wallets. By submitting an order, you represent and warrant that you are authorized to use the selected payment method and that the payment information you provide is accurate and complete.

5.3 Taxes. Prices shown on the Site may not include applicable sales tax. Any required taxes will be calculated and displayed at checkout based on your shipping address. You are responsible for all applicable taxes associated with your purchase, excluding taxes based on our net income.

5.4 Order Confirmation & Acceptance. After you place an order, you may receive an email acknowledging that we have received your order. This email confirmation does not constitute our acceptance of your order. We accept your order only when we ship the products to you and send a shipping confirmation email. We may cancel any order before shipping and will refund any amounts paid if we do so.

## 6. Shipping, Delivery & Risk of Loss

6.1 Shipping Areas. Sand & Reef currently ships orders only to addresses within the United States (including the contiguous U.S. and, where specified, Alaska, Hawaii, and U.S. territories). We do not ship internationally at this time unless expressly stated on the Site.

6.2 Shipping Costs & Timelines. Shipping methods, estimated delivery times, and any applicable shipping charges will be displayed at checkout. Any delivery dates or timeframes provided are estimates only and are not guaranteed. Delays may occur due to carrier issues, weather, or other factors beyond our control.

6.3 Risk of Loss. All products purchased from Sand & Reef are shipped pursuant to a shipment contract. Risk of loss and title for the products pass to you upon delivery of the products to the carrier. You are responsible for filing any claims with carriers for damaged or lost shipments, but we may assist you at our discretion.

## 7. Returns, Exchanges & Refunds

We want you to love your beachwear and decor. Our returns and exchanges practices are described in our Return Policy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Return Policy, these Terms will control to the extent of the conflict.

To be eligible for a return or exchange, products must meet the conditions stated in the Return Policy, which may include, for example, being unused, unwashed, and in their original packaging with tags attached, except in the case of defective or damaged items. Certain items, such as final sale or personalized products, may not be eligible for return or exchange.

## 8. Use of the Site & Prohibited Conduct

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to, and will not permit or encourage any third party to:

- Use the Site for any unlawful, fraudulent, or malicious purpose.

- Interfere with or disrupt the operation or security of the Site or the servers or networks used to make the Site available.

- Attempt to gain unauthorized access to the Site, other accounts, or any computer systems or networks related to the Site.

- Use any automated means, including robots, spiders, or scrapers, to access the Site for any purpose without our express written consent.

- Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent such restriction is expressly prohibited by law.

You may not use our trademarks, trade dress, or other brand elements, including the Sand & Reef name and logos, without our prior written permission. Nothing in these Terms grants you any right, title, or interest in the Site or its content, except for the limited license to access and use the Site for personal, non-commercial purposes as expressly permitted herein.

## 10. User Content & Reviews

10.1 User Content. The Site may allow you to submit reviews, photos, comments, or other content ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Sand & Reef a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media now known or hereafter developed, for any purpose in connection with our business, including marketing and promotion of the Services.

10.2 Responsibility for User Content. You are solely responsible for your User Content and represent and warrant that: (a) you have all rights necessary to grant the above license; (b) your User Content is accurate and not misleading; and (c) your User Content does not infringe, misappropriate, or violate any third party’s rights, or any law or regulation.

## 11. Third-Party Services & Links

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Sand & Reef. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources. Your use of third-party websites and services is at your own risk and subject to the applicable third party’s terms and policies.

## 12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, AND ALL PRODUCTS PURCHASED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SAND & REEF EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, secure, or free of errors, viruses, or other harmful components, or that any defects will be corrected. Your use of the Site and reliance on any information or materials is solely at your own risk. Some jurisdictions do not allow limitations on implied warranties, so some of the above limitations may not apply to you.

## 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAND & REEF OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCTS PURCHASED THROUGH THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO SAND & REEF FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

## 14. Indemnification

You agree to indemnify, defend, and hold harmless Sand & Reef and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; or (c) your violation of any rights of another party, including any intellectual property, privacy, or other proprietary right.

## 15. Changes to the Site or These Terms

We may update, modify, or discontinue any part of the Site or Services at any time, with or without notice. We may also revise these Terms from time to time in our sole discretion. When we make material changes, we will update the “Last updated” date at the top of these Terms and may provide additional notice as required by law. Your continued use of the Site after the posting of revised Terms means that you accept and agree to the changes.

## 16. Governing Law & Dispute Resolution

16.1 Governing Law. These Terms and any dispute or claim arising out of or relating to them, the Site, or your purchase of products, will be governed by and construed in accordance with the laws of the State in which Sand & Reef is organized, without regard to its conflict of law principles, and applicable federal law of the United States.

## 17. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without cause or notice, including if we believe that you have violated these Terms. Upon termination, your right to use the Site will immediately cease. The provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, disclaimers, limitations of liability, indemnification, and governing law provisions) will survive any termination of your access to the Site or Services.

## 18. Miscellaneous

18.1 Entire Agreement. 18.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver must be in writing to be effective.

18.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms without restriction.
